New Corporations

To form a new Corporation in the State of Nevada, the following documents will need to be filed with the Nevada Secretary of State:

  • Articles of Incorporation
  • Initial List of Officers / Nevada State Business License

Articles of Incorporation

The Articles of Incorporation (or the "Articles" as they are commonly referred to) is the formal document which will create your Nevada Corporation. In order to complete your Articles of Incorporation, at a minimum you will need to know the following:

  • The name of the Nevada corporation
  • Who will serve as your Nevada Registered Agent
  • Total number of shares and the par value of those shares
  • The names and addresses of each individual serving as a Director of the corporation

Once you have this information, you will be able to move forward with the Incorporation process. The Nevada Secretary of State has created a convenient template which they require you to use for your Articles. This template can be downloaded from the "Business Center" of the Nevada Secretary of State's web site.

Initial List of Officers & Nevada State Business License

The Initial List of Officers is the second requirement in the Nevada corporation formation process. This document provides the Nevada Secretary of State a listing of the officers of the corporation and also covers the filing for the Nevada State Business License (so you take care of two requirements with one document).

It is very important that the Initial List be filled out and filed on time. Without it, your Nevada Corporation is not complete in the eyes of the Nevada Secretary of State. Many people inadvertently over look this document and end up having to pay additional late fees. At Nevada Business Services we have found that it's often best to file your Initial List of Officers at the same time as your Articles of Organization when ever possible. This helps to ensure that all filing requirements are met as soon as the corporation is formed.
