Nevada Limited Liability Company (Nevada LLC)
The Nevada LLC is, hands down, the most commonly formed entity in the State of Nevada. In 2010 alone, over
32,000 new LLCs were registered with the Nevada Secretary of State.
In the State of Nevada, the LLCs popularity comes from two primary aspects. First, like the Nevada
C-Corporation (read more here) the Nevada LLC provides a strong corporate veil. The corporate veil
effectively separates the assets owned by the LLC from the assets owned by the LLC owners.
In addition, the tax structure of the LLC is very similar to that of a Partnership, in which the income
that is generated by the entity passes directly through to the owners of the entity shows up as ordinary
income for tax purposes.

Nevada LLC Formation Process
We firmly believe that if you are planning on forming a Nevada LLC, it is important for you to know the process of
doing so in the State of Nevada. For this reason, we have outlined the steps that will need to be taken below.

To form a Nevada LLC the following forms will need to be filled out and submitted to the Nevada Secretary
of State:
- Articles of Organization
- Initial List of Manager/Members and State Business License
Articles of Organization
The Articles of Organization (or "Articles" as they are commonly known as) is the document that will
actually create your Nevada LLC.
In order to complete the Articles of Organization you will need the following information:
- The name of the LLC
- Who will serve as your Nevada Registered Agent
- The predetermined dissolution date (this is optional)
- The management structure of the LLC - by Managers or by Managing Members
- The name and address of the Manager(s) or Managing Member(s)
Once you have this information on hand, you will be able to fill out the Articles of Organization
for your Nevada LLC.
The Nevada Secretary of State has conveniently created a template which they require you to use for your
Articles. This template can be downloaded from the "Business Center" of the
Nevada Secretary of State's web site.
Once the template has been completed, you will need to sign the document in the "Organizers" section, and you
will also need your Registered Agent to sign in the "Registered Agent Acceptance" section. After the Articles of
Organization has been signed, it is ready to be filed with the Nevada Secretary of State.
Initial List of Managers/Members & Nevada State Business License
In addition to your Articles of Organization, the Nevada Secretary of State also requires that you
file an Initial List of Manager/Members (or simply "Initial List"). This document is simply a listing
of the individual(s) in charge of operating your entity.
Included with the Initial List filing is also the payment for the Nevada State Business License
(if applicable). Essentially, you will file one document which will fulfill two State requirements.
Important Note: The Initial List is required by the Nevada Secretary of State. Your Nevada
LLC is not complete until this document is filed. Many people forget to make this filing and they
ultimately end up having to pay additional late fees which are imposed by the Nevada Secretary of State.
These late fees can add a substantial amount to the overall cost of your filing, so don't forget to file
on time!

Filing Articles of Organization Online
The Nevada Secretary of State now allows you to form your LLC online. This service allows you to submit your Articles of

Filing online can be a major time saver as typically, the LLC is completely formed within the same day.
