Articles of Incorporation
The Articles of Incorporation (or the "Articles" as they are commonly referred to)
is the document that actually creates your Nevada corporation. To complete this document,
you will need to know:
- The name of the Nevada corporation
- Who will serve as your Nevada Registered Agent
- Total number of shares and the par value of those shares
- Who the Directors of the corporation will be
Once you have this information on hand, you will be able to fill out the Articles for your Nevada
corporation.
The Nevada Secretary of State has conveniently created a template which they require you to use for your
Articles. This template can be downloaded from the "Business Center" of the
Nevada Secretary of State's web site.
Initial List of Officers & Nevada State Business License
The Initial List of Officers is the second requirement in the Nevada corporation formation process.
This document provides the Nevada Secretary of State a listing of the officers of the corporation and
also covers the filing for the Nevada State Business License (so you take care of two requirements with
one document).
It is very important that the Initial List be filed and filed on time. Without it, your Nevada
corporation is not complete in the eyes of the Nevada Secretary of State. Many people inadvertently
over look this document and then end up getting hit with excessive late fees which are imposed by the
Nevada Secretary of State. Don't be one of them!
Once the Articles and the Initial List of Officers are filed, your State filing requirements are complete
for a period of one year.
